Turbogen (TRBG) Hits Nasdaq Capital Market August 31 — Direct Listing, 3.1M Shares, Zero Revenue
Turbogen Ltd. began trading on the Nasdaq Capital Market on August 31, 2026, under ticker TRBG, dual-listed alongside its existing Tel Aviv Stock Exchange symbol TURB.
The structure matters: this is a direct listing, not a traditional IPO. Turbogen raises no new capital. Existing shareholders are selling up to 3.1 million shares of common stock, and the company's treasury stays flat.
The business is early-stage by any measure. Founded in 2014, Turbogen develops combined heat and power systems built around multifuel microturbines. Its primary product in development, the TG-40, is designed to produce up to 40 kilowatts of electrical energy and up to 60 kilowatts of heat for local production applications. Per the Renaissance Capital IPO Center profile, the company remains in the development stage with demonstration-only production capacity and no revenue generated as of the prospectus date.
In December 2025, Turbogen signed a supplier agreement with a European company for scaled production of its TR3200 microturbine system. Per the company's SEC Form F-1/A filed ahead of listing, Turbogen has placed an order for twelve systems: three are expected to be installed in Q4 2026, with nine more scheduled over the following twelve months.
On the financing side, Turbogen closed a $7.5 million transaction in March 2026, led by real estate entrepreneur and investor Alex Katz. The last reported sale price on the Tel Aviv Stock Exchange as of March 10, 2026 was approximately $7.45 per share, placing the fully diluted valuation at $194 million at that reference point, per the Renaissance Capital profile.
CEO Yaron Gilboa framed the Nasdaq debut this way in the company's August 31 SEC Form 6-K: "We are proud and excited to achieve the milestone of listing our ordinary shares on Nasdaq. We believe the Nasdaq listing will help expand our global reach and raise our profile among investors and business partners."
Per the Renaissance Capital IPO Center profile and the company's SEC Form F-1/A, Turbogen is a pre-revenue, development-stage company. Its last reported fully diluted reference valuation of $194 million is drawn from the March 10, 2026 Tel Aviv Stock Exchange price of approximately $7.45 per share. The Nasdaq listing expands its shareholder base and visibility without injecting fresh capital into the business.
What's actually next, per the sourced filings: the first three TR3200 installations are the nearest concrete milestone, targeted for Q4 2026.
